Terms & Conditions of Service
These Terms & Conditions (“Terms”) govern the provision of services by Silver Horse Group Ltd (“Silver Horse Group”, “we”, “us”, “our”) to the client (“you”, “your”). By purchasing, commissioning, or using our services, you agree to these Terms.
1. Services
We provide search engine optimisation (SEO) and related digital services (including audits, strategy, on-page optimisation, technical SEO guidance, and reporting) as described in our proposal, statement of work, or written correspondence.
If we provide any domain-related support (such as DNS guidance, SEO-related redirects, advisory support, or introductions to third parties), it will be described in writing and may be subject to additional terms below.
2. No Guaranteed Results
SEO results depend on factors outside our control (including algorithm changes, competitor activity, and third-party platforms). No specific rankings, traffic levels, or commercial outcomes are guaranteed.
3. Client Responsibilities
You agree to:
- Provide timely access to relevant websites, platforms, and information
- Ensure materials you provide are lawful and do not infringe third-party rights
- Maintain appropriate backups and administrative access for your systems
- Not request or require us to implement deceptive or unlawful practices
4. Fees & Payment
Fees will be agreed in writing. Unless otherwise stated, invoices are payable within 14 days. Late payment may result in suspension of services until accounts are brought up to date.
5. UK Domains & Nominet UK Abuse Policy Compliance
Where our work relates to .UK domain names (including advice, acquisition support, SEO-related configuration, redirects, DNS guidance, or third-party introductions), you agree to comply with all applicable Nominet UK policies and the requirements of the relevant registrar / registry processes.
5.1 Prohibited Use
You must not use any domain name or related service in a way that:
- Facilitates phishing, fraud, scams, or deceptive practices
- Distributes malware or harmful code
- Supports criminal activity or unlawful conduct
- Misrepresents identity or infringes intellectual property rights
- Breaches applicable UK law or Nominet UK policies (including abuse-related rules)
5.2 Abuse Reports & Enforcement
Domain names may be suspended, restricted, or cancelled by Nominet UK, a registrar, hosting provider, or competent authority following an abuse report or investigation. You acknowledge such actions are outside our control.
Silver Horse Group is not liable for any suspension, cancellation, takedown, restriction, or similar action imposed by Nominet UK or any third party.
5.3 Right to Suspend Services
We may suspend or terminate services immediately, without notice, where continued involvement could expose us to legal, regulatory, or reputational risk (including where we reasonably suspect domain-related abuse or unlawful conduct).
5.4 Reporting abuse
If you need to report a website or domain you believe to be abusive in connection with our services, you can contact us at abuse@silverhorsegroup.co.uk. We may also direct you to report abuse through the appropriate registrar / hosting provider / Nominet UK processes depending on the circumstances.
6. Channel Partner Standards (where applicable)
Silver Horse Group is primarily an SEO consultancy. We are not the .UK registry and we do not represent that we are Nominet UK. Any domain registration is carried out through your chosen registrar or a third party.
If (and only if) we act as a registrant-facing intermediary for .UK domains (for example, as a “channel partner” or reseller arrangement, or where we manage domains on your behalf via an authorised registrar), we will apply standards consistent with the Nominet UK registrar/channel partner requirements. This includes:
- Customer service and support: providing reasonable support and meeting service-level commitments agreed with you
- Complaints process: making you aware of our complaints process and how to escalate issues
- Transparency: making you aware of these Terms & any domain-related terms that apply
- Required website information: publishing appropriate business contact details and support information
- Abuse contact: providing a contact route for reporting domain/website abuse
- Reseller controls: where relevant, requiring resellers/partners to comply with applicable standards
- Registrar relationships: disclosing relevant registrar relationships where required
6.1 Additional standards for “accredited” arrangements (where applicable)
If we provide services under an “accredited channel partner” style arrangement (only where explicitly agreed in writing), we may also maintain and/or provide evidence of:
- Appropriate business insurance
- A business continuity approach
- Processes supporting data quality obligations
- Obtaining explicit registrant consent for certain domain actions (e.g., handling of expired domains) where required
7. Intellectual Property
You retain ownership of your pre-existing materials. Upon full payment, you receive the benefit of deliverables created for you (to the extent applicable). We retain ownership of internal methods, templates, tools, and know-how.
8. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or commercial information shared during the engagement. This obligation continues after termination.
9. Limitation of Liability
To the maximum extent permitted by law, Silver Horse Group shall not be liable for indirect, incidental, or consequential losses (including loss of profit, revenue, goodwill, or data).
Our total liability in connection with services shall not exceed the fees paid by you for services in the three months preceding any claim.
Silver Horse Group shall not be liable for suspension, cancellation, or restriction of any domain name by Nominet UK or any registry, registrar, hosting provider, or authority.
10. Termination
Either party may terminate ongoing services by written notice (typically 30 days, unless otherwise agreed). Outstanding fees remain payable.
11. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
